Have Questions?

FAQ about OPC Registration

  • Can an NRI incorporate a One Person Company (OPC) in India?
Yes. Recent amendments allow an Indian citizen, whether resident or non-resident (NRI), to incorporate an OPC in India.
  • Is an OPC required to hold Annual General Meetings (AGM)?
No. One Person Companies are exempted from holding Annual General Meetings (AGM). Passing resolutions in minute books signed by the sole member is sufficient.
  • Can an OPC issue shares to external venture capital investors?
No. An OPC can have ONLY ONE shareholder. To raise equity investment from external investors, the OPC must first be converted into a Private Limited Company.
  • What is the statutory process for compounding technical MCA defaults?
Under Section 441 of the Companies Act 2013, a company can file a compounding application admitting technical non-compliance, pay a reduced fine to NCLT/RD, and avoid court prosecution.
  • What are the consequences of non-compliance with annual ROC filings?
Delayed AOC-4 and MGT-7 filings incur daily additional late fees of Rs. 100 per day, director DIN disqualification for 3 consecutive years of non-filing, and risk of company strike-off.
